As a Site user, you agree not to use the Content for any unlawful purposes, and not to violate our rights, or the rights of others. Indemnification: By accessing this Site, you agree to indemnify, defend and hold harmless, BG, LLC, Affiliates from, and against, any actual or alleged claims, demands, causes of action, judgments, liabilities, losses, and/or damages. By sending or transmitting any information, you irrevocably grant to Blank Generation, LLC and Affiliates a non-exclusive worldwide, royalty-free license containing, without limitation, all right, title and interest in your User Submissions, including without limitation, all patents, trademarks, service marks, names, trade identities, copyrights, trade secrets, logos, domain names, know how, source code and object code, mask-work rights, inventions, moral rights, author’s rights, algorithms, rights in packaging, goodwill and other intellectual property and proprietary rights, whatsoever in your submissions. You further agree that BG, LLC and Affiliates will have the right, throughout the universe, in perpetuity, without any credit or compensation to you, to use, re-use, modify, alter, display, archive, publish, sub-license, perform, reproduce, disclose, transmit, broadcast, post, sell, translate, create derivative works from, distribute, and use for advertising, marketing, publicity, promotional or any other purposes any of your submissions, or portions of your submission, and your name, voice, likeness, and other identifying information in any form, media, software or technology of any kind now known or developed in the future for any purposes whatsoever, including, without limitation, developing, manufacturing and marketing products using your submission. You hereby waive any moral rights you may have in, or to, any of your submissions, even if such material is altered, or changed in a manner not agreeable to you. You agree and understand that Affiliates or us, are not obligated to use your submissions, and may choose to discard them without any liability whatsoever, and without notice.

Registration: Your decision to provide any information is purely optional. You agree to provide only true, accurate, current, and complete information at all times. By registering, you agree to accept responsibility for all activities that occur under your account or password, if any, and, agree you will not sell, transfer, or assign your membership or rights. You are responsible for maintaining confidentiality and restricting access to your computer. BG, LLC reserves the right to terminate membership and/or deny access to the Site to any person in its sole discretion without notice.

Linking policy and links to third party sites: Your link to this site must not damage, dilute, or tarnish the goodwill associated with any BG, LLC names, Affiliates, third parties, and/or Content and/or intellectual property, nor may the link create the false appearance that your site and/or organization is endorsed, replaced or associated with BG, LLC. You may not link to the site from/to any source that we deem to be unlawful, abusive, indecent or obscene, violent, illegal, libelous, defamatory, scandalous, or inflammatory or inappropriate. Under no circumstances may you “frame” this Site or alter it’s Content in any way. We reserve the right in our sole discretion to terminate a link with any site that we deem inappropriate. This Site contains links or references to other sites maintained by third parties over which we have no control. We are not responsible for the content of other sites, to which we link or from which this Site may be accessed. Location governing law: BG, LLC operates this Site in the United States. You are solely responsible for compliance with applicable local laws if you access this Site abroad. These Terms and Site use shall be construed, enforced, and governed in accordance with U.S. law in the State of Michigan, without regard to it’s conflict of laws principles. Any legal action or proceeding related to this Site shall be brought exclusively in a federal or state court of competent jurisdiction in Michigan within ninety (90) days after the occurrence of the facts giving rise to the cause of action, otherwise the cause shall be forever barred. However, notwithstanding, any other provision of these Terms, you agree that, in the event of any dispute, between the parties, the damages, if any, caused to you are not irreparable or sufficient to entitle you to enjoin or restrain, without limitation, the development, production, launch, advertisement, process, documentation, exhibition, or exploitation of the Site, or any film, show, site, property, production or materials owned or controlled by our Affiliates, third parties or us.

Miscellaneous: We will determine your compliance with these Terms in our sole discretion. Any violation of these Terms may result in restrictions on your Site access, and may be referred to law enforcement authorities. No waiver of any of these Terms shall be of any force or effect unless made in writing, and signed by a duly authorized employee of BG, LLC. The section titles in these Terms are for your convenience only, and do not have any legal or contractual effect.

Prices: The prices on this Site will not necessarily match prices elsewhere. Site prices are valid only on the Site and cannot be matched elsewhere, or by phone.

Terms and Conditions of Sale: These Terms and conditions of sale apply to your purchase of products and/or services sold by our Affiliates, third parties and us. By accepting delivery of any product from BG, LLC you accept, and are bound to, the Terms and Conditions of this agreement. If you do not wish to be bound by this Agreement, you must notify us immediately and return the item.

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right, at any time after receipt of your order to accept, or decline, your order for any reason. We reserve the right, at any time, without prior notice to supply less than the quantity you ordered of any item. We may require additional verifications or information before accepting any order. If you do not receive an acknowledgement in the mail, via email, or with your product, information about your purchase may be obtained by sending an email. Payment terms are within our sole discretion, and unless otherwise agreed to by BG, LLC, payment must be made in full at time of purchase. Your order is subject to cancellation by BG, LLC at the BG,LLC’s sole discretion. Unless we have agreed to a different amount, our standard pricing applies. We are not responsible for pricing, typographical or other errors, in any of our offers, and we reserve te right to cancel any orders resulting from such errors.

Other Businesses: Parties other than us may provide services or merchandise on this Site. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or individuals or the Content of their Sites. We do not assume any responsibility or liability for the actions, product, and content of all these, and any other, third parties. We do not warrant that descriptions or other Content on this Site is accurate, complete, reliable, current, or error-free. Purchases from third-party sellers may follow different policies. If any item is not as described, as provided by us, your sole remedy is to return the unused item to BG, LLC.

Shipping, Title, Risk of Loss, Taxes, Returns: Shipping and handling are additional unless otherwise expressly indicated at the time of sale. Loss or damage that occurs after shipment must be resolved within ten (10) days of the date of your purchase. You are responsible for all state and other taxes associated with purchases, from or through, this Site. Any returns or exchanges will be made in accordance with our exchange policies in effect on the date of the return. Your are responsible for risk of loss, shipping and handling fees for returning or exchanging product. Additional fees may apply. If you fail to follow the return or exchange instructions and policies provided in our email to you, we are not responsible whatsoever for product that is lost, damaged, modified or otherwise processed for disposal or resale. At our sole discretion, credit for partial returns may be less than invoice or individual component prices due to bundled or promotional pricing. We will determine how to handle customer returns of products, which may include: placing the returned product back into inventory and reselling it, or destroying the product if it is damaged. For replacements, in the case of damaged products, you agree to bear the cost of re-shipping non-received products costs to customers, including the cost of the product fulfillment and processing.
